Terms of Service

"Service" - The Kovetz PDF website (kovetz.co.il) and all tools, interfaces, and services offered therein.

"Operator" - DIGITAL POINT (a VAT-exempt dealer / "עוסק פטור"), business no. 204269369, of 14 Herzl St., Kiryat Ekron, Israel; to contact us: contact page - the owner and operator of the Kovetz PDF service.

"User" - Any person or entity using the Service, including visitors, registered users, and paying subscribers.

"Content" - Any file, document, image, or other data uploaded to or generated through the Service.

By accessing and using the Kovetz PDF service, you agree to be bound by these Terms of Service in their entirety. If you do not agree to these terms, you are not permitted to use the Service.

The Operator may update these terms from time to time. Material changes will be published on the website, and paying subscribers will receive reasonable advance notice. Continued use of the Service after an update takes effect constitutes acceptance of the updated terms; a subscriber who does not accept a material change may cancel as described in Section 8.

Use of the Service is prohibited for children under the age of 16. Users aged 16-18 may use free services, but purchase of a paid subscription requires consent from a parent or legal guardian, in accordance with applicable Israeli law.

Kovetz PDF provides online tools for processing PDF files, including merging, splitting, compression, conversion, editing, digital signatures, OCR, and additional services.

The Service includes a free tier with limitations, and a paid Pro tier with expanded capabilities. Plan details and pricing are published on the pricing page.

Free tier limits:

• Maximum file size: 25MB
• Up to 3 files per operation
• Up to 3 tasks per day (per browser)
• Some tools (such as advanced OCR for scanned PDF→Word conversion) are restricted to Pro subscribers

Pro tier: Up to 100MB per file, no batch limit, no daily task limit, access to all tools, no advertisements.

All file processing takes place on our servers. Your files are uploaded, processed for the requested operation only, and automatically deleted within 10 minutes - except documents sent for remote signature, which are retained for a limited period for the signing process (see the Privacy Policy). We do not store, sell, or transfer files to third parties.

The Operator grants the User a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service subject to these terms.

This license permits personal and commercial use of the Service, provided that such use does not violate these terms or any applicable law.

The Operator may revoke this license at any time, at its sole discretion, with or without prior notice.

When you upload files to the Service:

The User represents and warrants that: (a) they have all necessary rights to the files they upload; (b) uploading and processing the files does not infringe any copyright, trademark, or other intellectual property rights of third parties; (c) the files do not contain illegal content.

File size: Maximum file size is 25MB for free users and 100MB for Pro subscribers. Large files may be subject to processing time limits. The Operator may change these limits at any time.

The User agrees not to:

The Operator may block access for any user who violates these terms, without prior notice and without refund.

We strive to maintain high availability but do not guarantee continuous, uninterrupted, or error-free service.

The Operator may, at its sole discretion:

• Suspend the Service for maintenance, updates, or upgrades
• Modify, limit, or discontinue specific features or tools
• Discontinue the entire Service; active paying subscribers will be given reasonable advance notice and offered a proportional refund of the remaining paid period

The Operator shall not be liable for any damage resulting from downtime, malfunction, or service discontinuation.

Some services are offered for a fee. Subscription types:

• Monthly subscription (ongoing transaction): A recurring monthly charge. You may cancel at any time - via the cancellation page, the billing page, or via our contact page. On receipt of the cancellation notice the recurring charge stops (no later than three business days, or six if sent by registered mail), and no further charges are made. Pro access remains until the end of the paid period.
• Annual subscription: One-time payment for 12 months. Does not auto-renew - no further charge is taken at the end of the term. Email reminders are sent 30, 7, and 1 days before expiration. Manual renewal is available from the billing page.
• The Operator is a VAT-exempt dealer (עוסק פטור) and does not charge VAT. Prices displayed are the full and final prices, in New Israeli Shekels.
• Payment is processed through the payment method you provide to our payment processor (Ching / Shift Logic Ltd.), which handles billing, cards, and receipts. A receipt is issued for every charge.

Cancellation & refund policy (Consumer Protection Law 5741-1981):

• Distance-transaction cancellation: You may cancel within 14 days of the transaction or of receiving the transaction-details document, whichever is later. For a cancellation not due to a defect, the Operator may charge a cancellation fee of up to 5% of the transaction price or ILS 100 - whichever is lower.
• Monthly subscription: Cancel any time as above; you will not be charged for any period after cancellation. If the service has already begun, you pay only a proportional amount for the period actually used.
• Annual subscription: Cancel within 14 days for a refund less a proportional amount for actual use and the cancellation fee above. Thereafter you may still cancel the continued engagement; a proportional refund will be considered on request.
• To request cancellation or a refund: the cancellation page, the billing page, or the contact page with the subject "Refund Request". Response time: up to 7 business days. Refunds are issued to the original payment method.

Nothing herein derogates from the consumer's rights under the Consumer Protection Law or any applicable law.

Limitation of liability: In no event shall the Operator, its employees, partners, or service providers be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, loss of goodwill, business losses, or any other damages arising from:

• Use of or inability to use the Service
• Errors in file processing, including file corruption, data loss, or incorrect results
• Unauthorized access to or alteration of your data
• Service discontinuation or changes to terms
• Any other matter relating to the Service

If a court of competent jurisdiction determines the Operator is liable notwithstanding the above, maximum compensation shall not exceed the amount paid by the User to the Operator in the 12 months preceding the event, or 500 ILS - whichever is higher.

Nothing in this section limits any liability that cannot be limited or excluded under law - including liability for bodily injury caused by the Operator's negligence or for a wilful act or omission - nor does it derogate from the rights granted to a consumer under the Consumer Protection Law 5741-1981 or any other mandatory law.

All intellectual property rights in the Service, including source code, design, logos, trademarks, text, and content, belong to the Operator and are protected by intellectual property laws in Israel and worldwide.

Nothing in these terms transfers any intellectual property rights in the Service to the User. Use of the Service does not grant any rights to the Operator's trademarks, trade names, or logos.

Content uploaded by the User remains the User's full property. The User grants the Operator a temporary, limited license to process the files solely for the purpose of providing the Service.

The User agrees to indemnify and hold harmless the Operator, its employees, directors, and partners from any claim, demand, damage, loss, or expense (including attorney fees) arising from:

• Violation of these terms by the User
• Infringement of third-party intellectual property rights
• Content uploaded by the User
• Misuse of the Service

The Service may contain links to third-party websites or services. These links are provided for your convenience only. The Operator has no control over such content and is not responsible for their content, privacy policies, or any damage caused by using them.

The Operator may suspend or terminate your access to the Service at any time, for any reason, particularly in case of violation of these terms, without prior notice and without liability to you.

The User may discontinue use of the Service at any time. In case of a paid subscription, cancellation takes effect at the end of the billing period.

Sections 9 (Limitation of Liability), 10 (Intellectual Property), 11 (Indemnification), and 14 (Governing Law) shall survive termination.

These Terms of Service are governed exclusively by the laws of the State of Israel, and shall be interpreted accordingly, without giving effect to its conflict of laws rules.

Jurisdiction over any dispute arising from these terms or use of the Service is vested in the competent courts of the Tel Aviv-Jaffa district, without derogating from a consumer's right to bring an action before the competent court at their place of residence under any applicable law.

Severability: If any provision of these terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Failure by the Operator to enforce any right does not constitute a waiver of that right.

Entire Agreement: These terms, together with the Privacy Policy, constitute the entire agreement between the User and the Operator regarding use of the Service.

Assignment: The User may not transfer their rights or obligations under these terms to a third party without the Operator's written consent.
